Kraft Foods to merge with ketchup maker Heinz

(Reuters) - Kraft Foods Group Inc (KRFT.O) said it would merge with ketchup maker H.J. Heinz Co, owned by 3G Capital and Warren Buffett's Berkshire Hathaway Inc (BRKa.N), to form the third-largest food and beverage company in North America.

Kraft shareholders will receive stock in the combined company and a special cash dividend of $16.50 per share, which will be funded by Berkshire and 3G Capital.

Seems a bit odd to refer to Heinz as a "ketchup maker", when ketchup is just one of many products they make...

not really, ketchup is one of their most recognizable products, that's why they use that association

Interesting thing for my area though... Heinz is HQ in Pittsburgh, Pa... hopefully they don't decide to move it now... they kept it there after Buffet bought them out..

Personally, I'd have said Baked Beans were their most recognizable product, but maybe that's just the UK...

Great, another mega-corporation that will reduce competition and be harder to regulate.

  • Merger will create the 3rd largest food and beverage company in North America and the 5th largest food and beverage company in the world.
  • Combined company to be named The Kraft Heinz Company and to be co-headquartered in Pittsburgh and the Chicago area.
  • The new company will have revenues of approximately $28 billion with eight $1+ billion brands and five brands between $500 million-$1 billion.
  • Stock and cash transaction, with Kraft shareholders to receive a special cash dividend of $16.50 per share upon closing and stock in the combined company representing a 49% stake in the new company.
  • Berkshire Hathaway and 3G Capital will invest an additional $10 billion in The Kraft Heinz Company; existing Heinz shareholders will collectively own 51% of the new company.
  • Significant synergy opportunities with strong platform for organic growth in North America, as well as global expansion, by combining Kraft's brands with Heinz's international platform.

"significant synergy opportunities." Translation: thousands of layoffs imminent.

Oh sure, ketchup is big, but of all their slogans over the years, the one that has always stuck in my head is their jingle "Beans means Heinz".

huh? why? Kraft and Heinz are both american companies, its not like an american company is buying a British company like Cadbury and changing the food again when kraft bought them out originally

Mayonnaise, BBQ sauces, marinades, steak sauce, Worchestershire sauce, pasta sauces, beans, baby foods, ketchup, canned fruit and vegetables, frozen foods....

Their labels may not say Heinz in all cases (Classico pasta sauce, Bagel Bites, Lea & Perrins etc.) but it's Heinz.

Doesn't matter much here anyhow since we make homemade ketchup and most other sauces using family recipes, can veggies etc. The store stuff is too salty and most ketchups overly acidic.

Why does where the company is based make a difference, just because Cadbury was a UK company there was no need to change the ingredients, but they did. and they most likely will with Heinz

Heinz is buying Kraft, not Kraft buying Heinz... I doubt Heinz will change their ingredients... Kraft bought Cadbury and changed their recipe... in that case Kraft wanted to use their standard cocoa powder instead of what was normally used by cadbury, which was milk chocolate... I use the foreign company idea because Kraft begin a USA company likes to use cheaper products aka coca powder instead of the more expensive way with milk choclate... another part of it was to standardize the operation as in the USA you can't call what you guys sold as "Dairy milk chocolate" as chocolate here since it also has vegetable oils in it..

There was talk of Heinz buying Pepsi, for synergistic reasons at Pizza Hut, Taco Bell, and the other pepsico owned restaurants. I guess that must've fallen through. That, or Kraft-Heniz is going to become Kraft-Heinz-Pepsi

Suck on that, Nestl

Actually, their most famous products are pickles and the core product OF the pickle - the cucumber.  Rather amusingly, their LEAST-famous products are the root product of cucumbers and tomatoes (the core ingredient of ketchup) - the seeds.  Burpee Seeds has the exclusive rights to distribute the seeds developed by H. J. Heinz for both cucumbers and tomatoes.
