you can do this several ways

the cheapest way would be go get a hub

the next step up is to get a router

but i've only done it with a hub so here we go

the host computer (the one main one with the modem by it) needs to have 2 NICs (network interface cards/ethernet cards)

while the other computer has 1, you connect the modem into the first card of the host pc, then you connect the other card to the 1st slot in the hub, then the second computer into the 2nd slot of the hub and if you're on windows xp you can use its ICS (internet connection sharing software altho i've never bothered to try it) or you can go to start>Settings>network connections> and configure the second NIC of the host computer to use an ip address of 192.168.0.1 subnet mask of 255.255.255.0 and a default gateway of nothing. then on the second computer you do the same thing but configure the card to the ip address of 192.168.0.2 and the subnet mask of 255.255.255.0 and the default gateway of 192.168.0.1 then you reboot both machines of necessary and run the dos prompt and ping each other by typing ping 192.168.0.2 from the 1st machine and 192.168.0.1 from the second to see if they are pingable and if so you run a program called Proxy available at http://www.analogx.com and configure IE to use port 6588 (thats the port of the proxy) and it should work
