Why wouldn't it? Perhaps add a bit more RAM.

I was under the impression that Windows 8 had fairly low system requirements. Or at least around the same as Windows 7 anyways.
I know Windows 7 64bit with aero and all transparency enabled works awesome on an Intel Atom netbook which I'd think would have less power than what you stated.
I know cuz I installed Windows 7 Ultimate 64bit on one and it ran awesome, even performed way better at everything than when it had Windows XP on it.
Don't take my word for it though. Maybe if you have enough disk space, try a dual boot option first.

If Windows 7 runs fairly well, Windows 8 will have no trouble. If not anything else, they've done that right.
